Websites Made Easy

a. To provide WME with website content necessary to complete the project.
b. That these terms and conditions apply to the State of Florida, Leon County, and shall be enforced in all respects in accordance with Florida laws.
c. Flat Fee Services

i. To pay for services in advance of any work performed by WME.
ii. All service fees are non-refundable upon the establishment of the clients Network Solutions® account

d. Contracted Services

i. To pay for services according to the WME quote in an amount not to exceed the total amount quoted unless mutually agreed upon in writing by both parties.
ii. That according to the WME quote, the Client agrees to pay a 25% non-refundable deposit of the total amount quoted in advance of any work performed by WME.
iii. Deliverable Payments

1. That the Client has two (2) deliverable reviews according to Part I.e, and for each deliverable review, the Client has forty eight (48) hours from eMail notification to inspect the work performed by WME.
2. That if the Client approves, provides no input, or requests changes according to Part I.E, WME is authorized to continue working on subsequent deliverables and the Client is obligated to pay 37.5% of the total amount according to Part I.d.i.

e. Deliverables

i. That the Initial Review consists of the general layout, design, and navigational structure of the website according to the consultation.
ii. That the Final Review consists of all content and functionality for all website pages according to the consultation.
iii. That the website project is wholly complete within 48 hours of Part I.a or upon the Final Review, whichever comes first.

f. Online Service Providers

i. That all online service provider account(s), products, and services are established in the name of the Client at full cost to the Client.
ii. That the Client agrees to all terms and conditions set forth by the selected online services providers.
iii. That the Client is responsible for archiving eMail and website content from previous online service provider account(s), if applicable.

g. Management of Blogs, Message Boards, Guest Books, and other interactive technologies is the responsibilitiy of the client.
h. All support and project requests are made in writing.
i. To be liable for and indemnify, defend, and hold WME harmless from all claims, suits, judgments, or damages, including attorneys’ fees and costs, arising out of any act, sharing of confidential information, actions, neglect, or omissions by WME during the performance or operation of this agreement or any subsequent modifications thereof.

a. That WME shall notify the Client by eMail when the deliverables according to Part I.e. are available for review.
b. To retain or transfer, at no additional cost to the Client, all electronic Client records pertinent to this agreement for a period of thirty days (30) after the Final Review.
c. Confidentiality of Information

i. That WME agrees to hold confidential all billing information provided by the Client.
ii. That WME agrees to destroy all evidence of billing information when the need no longer exists to perform the requirements project, or according to Part III.b.

d. WME agrees to not provide services for competitors of fully paid commercial clients for a period of one (1) year and fully paid non-profit clients for a period of two (2) years from the executed date of this agreement.
e. To return to the Client any overpayments due to unearned funds according to Part I.d.iii.

a. Support is available at the standard rate as posted on the Websites Made Easy website.
b. That these terms and conditions shall begin on according to Part I.c.i, or Part I.d.i, whichever is applicable; and shall end upon completion of the project requirements or according to Part III.b.
c. That these terms and conditions may be terminated by WME or the Client without cause upon twenty four (24) hours notice in writing electronically to either party.
d. That any outstanding invoices for additional work performed shall be submitted electronically by eMail by WME to the Client.
e. That these terms and conditions and any service providers incorporated by reference, contain all the terms and conditions agreed upon by the parties. If any term or provision of this agreement is legally determined unlawful or unenforceable, the remainder of the agreement shall remain in full force and effect.
